Our client is seeking a Legal Counsel to join the in-house legal team within their Governance Services division. This is a full-time role supporting legal matters across all jurisdictions where the business operates. Working closely with the General Counsel, you will take on a wide-ranging portfolio of commercial legal, regulatory, and risk-related work as the business continues to grow and evolve.
Job Duties:
- Maintain best practice in legal, reputational and operational risk management across the business
- Identify and analyse legal and reputational risks from client mandates and propose appropriate mitigations
- Support the development of a strong compliance culture, particularly around confidentiality and legal privilege
- Manage and update global terms of business, jurisdiction terms and data processing terms
- Review and negotiate NDAs, supplier contracts, licence agreements and commercial contracts
- Draft and maintain intra-group agreements, including service and outsourcing agreements
- Lead automation projects for engagement letter templates across jurisdictions
- Advise on and negotiate bespoke client terms as needed
- Assist on regulatory matters including outsourcing, codes of practice, and licence applications
- Provide guidance on cross-border compliance topics including FATCA, CRS, DAC6 and MDR
- Support legal aspects of AML processes including eligible introducers, ABC, and CDD requirements
- Prepare and deliver legal input to boards and senior management on regulatory and legal issues
- Attend quarterly board meetings when required
- Provide legal input into policies, procedures and internal guidance
- Coordinate closely with the wider legal and compliance teams and senior stakeholders across jurisdictions
- Assist with legal aspects of internal licensing, strategic projects and corporate transactions including new jurisdictions, products and office moves
Job Requirements:
- Significant post-qualification experience, ideally within a commercial law firm or in-house legal environment
- Experience in corporate or funds law, or within a regulated in-house legal team, is advantageous
- CGI and/or STEP qualifications are desirable, with support offered to achieve them if required
- Enthusiastic and eager to learn, with a proactive mindset and willingness to step outside your comfort zone
- Ability to build strong and effective working relationships across jurisdictions
- Self-starter who can manage and take ownership of their workload
- Calm, confident and approachable, with excellent written and verbal communication skills
- Highly organised, deadline-focused and detail-oriented, with strong completer-finisher traits
- Comfortable prioritising competing demands in a fast-paced environment
- Demonstrates discretion, sound judgement and the ability to maintain confidentiality
- Passionate about technology and open to using innovative solutions, such as coding and automation
