Our client is seeking a Manager to join their Fund Services team on a permanent, full-time basis in Jersey. This senior position focuses on delivering high-quality company secretarial and board support services to a portfolio of fund clients. You will play a key role in maintaining corporate governance standards, mentoring junior colleagues, and supporting fund establishment and administration. The role will suit a highly organised and experienced governance professional with a strong understanding of fund structures and company secretarial best practices.
Job Duties:
- Deliver company secretarial services to a portfolio of fund clients, including convening, attending, and minuting board meetings
- Manage the scheduling, production, and dispatch of board packs and meeting documentation
- Maintain close communication with board members and other stakeholders regarding meeting logistics and statutory formalities
- Provide company secretarial input during the setup of new corporate entities and limited partnerships across jurisdictions
- Ensure compliance with corporate governance frameworks, statutory filing obligations, and best practice standards
- Oversee regulatory and listing-related filings, including stock exchange continuing obligations
- Guide and support clients through listing application processes, coordinating with directors, advisors, and relevant exchanges
- Coordinate agendas, notices, proxies, and supporting documentation for general meetings
- Ensure timely collation and tracking of proxies, whether via internal processes or through liaison with external registrars
- Maintain and update statutory records and company data using entity management systems, including Viewpoint
- Support the preparation and implementation of business continuity and governance initiatives
- Mentor and develop members of the Company Secretarial team, providing training and performance feedback
- Coordinate team outputs, reporting requirements, and maintain relevant calendars for meeting planning and governance events
- Support the onboarding of new clients and fund launches, ensuring accurate governance and system setup
- Contribute to the continuous improvement of company secretarial procedures, governance policies, and team standards
- Represent the Company Secretarial function across service lines to identify cross-selling opportunities and add client value
Job Requirements:
- Significant experience in a company secretarial role within the funds industry, ideally with exposure to listed entities (FTSE 350, AIM) and private equity structures
- ICSA/CGI, STEP, or equivalent qualification (or working towards completion)
- Strong understanding of corporate governance codes and regulatory frameworks including Market Abuse Regulations
- Proven experience drafting accurate board and committee minutes
- Familiarity with entity management systems, ideally Viewpoint
- Proficiency with Microsoft Office and an aptitude for learning new software, including board portal solutions
- Strong leadership and mentoring skills, with experience managing or coaching a team
- Excellent written and verbal communication skills
- Strong organisational and time management skills, with the ability to meet deadlines and manage competing priorities
- Client-focused approach with an ability to build trusted relationships and manage expectations
- A proactive attitude and the ability to work independently and collaboratively
