Assistant Company Secretary

Our client is seeking an Assistant Company Secretary to join their Corporate Services function. This full-time role involves providing support in a busy corporate environment with a focus on governance, compliance, and administrative activities for the organisation's legal entities across multiple jurisdictions. The role requires attention to detail, the ability to manage multiple tasks effectively, and a proactive approach to meeting deadlines. 

 

Job Duties:

  • Ensure compliance for the Group's legal entities, including subsidiaries in the Isle of Man, UK, and overseas.
  • Maintain statutory registers and minute books.
  • Fulfill filing requirements such as annual returns, change of details, and allotment returns.
  • Assist in producing and filing annual statutory accounts.
  • Maintain the Group structure chart and list of directors and officers.
  • Manage overseas company secretarial advisers across multiple jurisdictions.
  • Support the management of the Group's share incentive schemes, ensuring records are accurate and up to date.
  • Administer the annual grant and maturity programs for executive, shadow, and savings-based options.
  • Prepare HMRC share scheme tax returns.
  • Prepare agendas, distribute board papers, attend meetings, and take minutes for subsidiary Boards.
  • Provide project management support for statutory accounts preparation and filing.
  • Assist with subsidiary AGMs and governance-related activities.
  • Stay informed on legislative and regulatory developments affecting the organisation.
  • Provide support for acquisitions, disposals, capital raising, and other corporate actions.
  • Offer administrative support for insurance and risk management activities.

 

Job Requirements:

  • Recently or part-qualified Company Secretary (ACG), with experience in an overseas group company environment preferred.
  • Experience in a fast-paced, complex business environment.
  • Familiarity with Diligent Entities (Blueprint) and DocuSign is advantageous.
  • Exceptional attention to detail and organisational skills.
  • Ability to build effective relationships and act as a trusted advisor.
  • Strong initiative and ability to manage workload independently while meeting deadlines.
  • Solid commercial acumen and corporate governance knowledge.
  • Excellent interpersonal and influencing skills in a decentralised business environment.
  • Adaptability to changing priorities and commercial needs.
