Legal Counsel

Our client is seeking a Legal Counsel who will report to the Directors. This is a full-time position requiring work from Monday to Friday, 9am to 5pm. The successful candidate will provide legal expertise and support across the group, with a focus on finance. Applicants should ideally possess a minimum of three years' experience in either a finance or commercial field, acquired in practice and/or within the finance industry. This role offers an excellent opportunity for the individual to contribute significantly to the in-house legal function and facilitate future growth.

Job Duties:

  • Anticipate issues and estimate risks strategically
  • Assist in the appointment and management of external legal firms, building effective partnerships and relationships to ensure quality, value-for-money advice
  • Refine suite of standard legal documents and agreements
  • Conduct due diligence on loans
  • Review and draft term sheets and loan agreements with funders, as well as end borrowers when external firms are not retained
  • Liaise with the administration team in Guernsey
  • Assist with legal work related to private equity structures and fiduciary services
  • Support internal legal tasks such as drafting committee minutes and addressing regulatory issues
  • Ensure any changes in legislation and regulatory environment are reflected in agreements with funders and borrowers
  • Develop and refine standard legal documents and agreements
  • Analyse risks in relation to new business take-on and help identify and mitigate execution risks for new loans
  • Interpret laws and regulations and implement corresponding policies, procedures, guidelines, and standards
  • Maintain current knowledge of changes in legislation
  • Collate information with clients and the compliance team
  • Display effective teamwork skills in collaboration with the admin team in Guernsey
  • Present periodic reports to the Board

Job Requirements:

  • Professional legal qualification
  • Strong adaptability and willingness to learn other relevant laws
  • Excellent written and verbal communication skills, able to engage with colleagues and clients at all levels
  • Ability to explain complex legal matters in practical terms
  • Sound judgement with ethical decision-making capabilities
  • Strong relationship-building skills based on trust with key stakeholders
  • Effective prioritisation and project management abilities
  • Capability to work individually as well as part of teams
  • Solutions-based approach with strategic thinking
  • Strong analytical skills and pragmatic problem-solving abilities
  • Commercial acumen with an understanding of financial drivers impacting client structures
  • Drive to continually improve processes and seek new challenges
  • Ability to work under pressure, maintaining accuracy and attention to detail while meeting deadlines
  • Contribution towards the company's risk control environment
  • Willingness to travel occasionally (e.g., London and other offices)
