Our client is seeking a dedicated Company Secretary Assistant to join their team on a full-time basis in the Isle of Man. This position offers a structured opportunity to gain hands-on experience in the governance framework of a listed company. The successful candidate will be exposed to various responsibilities associated with corporate governance, board support, and statutory compliance, while receiving support towards relevant Chartered Governance Institute (CGI) qualifications as per the applicable study support policy. We are also open to speaking with strong A-level leavers or recent graduates for this position. In this role, you will assist the Company Secretarial Team by contributing to board and committee functions, maintaining corporate records, and ensuring compliance with statutory requirements. Your involvement will help develop your understanding of governance principles and best practices within a corporate setting.
JOB DUTIES:
- Support board, committee and governance meetings as part of a structured trainee development role, including scheduling, agenda preparation, board pack collation and circulation.
- Assist with the maintenance of company secretarial records, statutory registers, governance trackers and corporate records, developing an understanding of good governance practice and statutory record keeping requirements.
- Support the preparation, review and organisation of meeting materials, governance updates, action logs and supporting papers, learning how information is presented to boards and committees.
- Track actions and information requests arising from board, committee and governance meetings, helping to ensure timely follow-up and clear accountability.
- Assist with statutory and regulatory filings, notifications and returns, gaining practical experience of corporate compliance obligations and governance deadlines.
- Support entity administration activities, including maintaining company information, director and officer records, group structure information and other corporate governance data.
- Develop and maintain governance reporting mechanisms, including Excel spreadsheets, action trackers, entity records and board reporting tools, with guidance from senior members of the team.
- Build knowledge of company secretarial procedures, governance standards and listed company administration through supervised practical work and professional development.
- Collate data to support quarterly governance reporting for the relevant companies, including board reporting, committee reporting, as well as ad-hoc reports where required.
- Support the Company Secretarial Team with board pack collation, minute and action tracking, record keeping and data management through relevant internal systems.
- Assist with the maintenance and improvement of company secretarial processes, templates, calendars and checklists, contributing ideas as knowledge and confidence develop.
JOB REQUIREMENTS:
- A keen interest in corporate governance and administration, with a desire to pursue a career in this field.
- Strong organisational skills and attention to detail, with the ability to manage multiple tasks effectively.
- Good communication skills, both written and verbal, enabling you to engage with internal and external stakeholders.
- Demonstrable ability to work collaboratively within a team environment while also being able to work independently when required.
- Basic proficiency in Microsoft Excel and other relevant software applications.
- A proactive attitude towards learning and professional development, with a willingness to undertake additional training and study.
- Desirable criteria include previous experience in an office environment or exposure to corporate governance practices.
