Our client is looking for an Assistant Company Secretary to provide company secretarial services to a portfolio of fund entities, including regulated, listed, and private equity clients. This permanent role involves a range of responsibilities supporting the Company Secretarial and Fund teams. Full training will be provided, allowing the successful candidate to develop their skills in this area.
Job Duties:
- Act as Assistant Company Secretary to a portfolio of fund boards, initially focusing on private equity clients.
- Assist with team projects, initiatives, and reviews.
- Liaise with clients and directors to arrange board meetings, including managing availability, rooms, and conference lines.
- Prepare and circulate board meeting packs, attend meetings, and assist with minutes using the prescribed format.
- Ensure timely circulation of minutes and handle feedback and alterations.
- Set up and maintain statutory record files, ensuring timely filing of documents.
- Maintain master agreements log per client and assist with banking and facilities arrangements as needed.
- Assist with the completion and maintenance of signatory mandates.
- Support the completion and submission of annual return forms and tax-related procedures for client entities.
- Handle statutory fee routines, including annual returns, regulatory fees, and stock exchange filing fees.
- Assist with distribution and filing of accounts to relevant bodies such as the Registrar, Exchange, and Custodian.
- Assist with notifications to regulators regarding changes to officers, directors, auditors, or fund documentation.
- Maintain registers, including directors, members, seal registers, and insider lists.
- Contribute to error/breach reports and liaise with internal parties to ensure satisfactory resolutions.
- Assist with the collection of KYC information for new Directors or other persons as required.
- Prepare for regulatory compliance visits.
- Review accounts, draft prospectuses, agendas, and marketing materials in accordance with legislation.
- Contribute to maintaining procedures that comply with legislative requirements.
- Ensure all statutory returns are completed accurately and on time.
- Assist with SLA reviews and adherence.
- Prepare Directors’ and Officers’ Insurance Proposal Forms and maintain cover.
- Set up and maintain client company letterheads.
- Cover for team members when necessary and undertake any other duties as delegated by the Head of Company Secretariat.
Job Requirements:
- Good knowledge of the offshore fund industry, particularly regarding regulatory requirements.
- Exposure to risk/compliance work in fund administration.
- Knowledge of laws and regulations applicable to fund management and administration.
- Strong A-level results and ideally a degree level qualification.
- Willingness to study for an industry-relevant professional qualification such as ICSA.
- Effective communication skills with a strong client service orientation.
- Goal-driven with excellent time management abilities.
- Ability to work under pressure and maintain a strong team ethic.
- Strong judgment and problem-solving skills.
