Company Secretary

Our client is seeking a Company Secretary to manage the statutory and corporate secretarial obligations of their Guernsey private equity fund general partners and related entities. This is a full-time role with a 37.5-hour working week. The ideal candidate will have 2 to 3 years’ experience in a company secretarial role at mid-level to assistant manager level, including experience attending board meetings and taking minutes. A willingness to undertake further professional study is desirable.

Job Duties:

  • Deputise for the Company Secretarial Manager in their absence.
  • Attend weekly manager meetings when required, providing updates on team priorities and deadlines.
  • Oversee team workloads and proactively drive progress.
  • Provide ongoing support to the team’s manager.
  • Support and mentor team members in day-to-day administrative tasks and complex queries.
  • Manage resources to ensure timely resolution of queries and tasks.
  • Act as the first point of contact for the team in the absence of the Company Secretarial Manager.
  • Escalate issues as required and provide guidance to team members.
  • Ensure the team feels supported in their roles.
  • Complete statutory and corporate secretarial reporting and filing requirements.
  • Manage the quarterly board meetings process, including:
  • Collation of papers.
  • Preparation of board packs.
  • Oversight of meeting timetables.
  • Attendance at meetings and recording of minutes.
  • Prepare and review board and committee meeting minutes.
  • Assist the Corporate Services team with recording investment decisions.
  • Prepare secretarial reports for quarterly board meetings.
  • Liaise with internal and external counterparties.
  • Ensure compliance with relevant processes and procedures.
  • Check and sign off on daily tasks.
  • Act as a B signatory.
  • Undertake other duties as assigned.

Job Requirements:

  • Relevant company secretarial or administration qualifications, or a willingness to undertake further professional study.
  • Knowledge of relevant regulations and legislation relating to Guernsey investment business.
  • Understanding of statutory requirements and company secretarial filing processes.
  • Experience managing and minuting board and committee meetings.
  • Strong organisational skills and the ability to meet strict deadlines.
  • Proactive approach to work.
  • Honesty and ability to handle sensitive information.
  • Excellent written and oral communication skills.
  • Strong attention to detail.
  • Team-oriented mindset.
  • Proficiency in Microsoft Outlook, Word, and Excel.
