Our client is seeking an Assistant Company Secretary to support a portfolio of fund entities. The successful candidate will provide regulatory and procedural guidance, ensure compliance with corporate governance standards, and assist with team projects and initiatives. The role may be adjusted based on experience. Full training will be provided as required.
Job Duties:
- Act as Company Secretary to a portfolio of fund boards
- Provide regulatory and procedural guidance to boards on company-related matters
- Review legislative and corporate governance changes, advising on necessary procedural updates
- Assist with team projects and initiatives
- Liaise with clients and directors to arrange and facilitate board meetings
- Prepare and circulate materials for board meetings
- Attend and host board meetings, drafting and circulating minutes and written resolutions
- Set up and maintain statutory record files in accordance with regulatory requirements
- Ensure timely filing of statutory documents and update signatory mandates
- Complete and submit JFSC Registry annual confirmations
- Ensure statutory fees and filings, including the distribution of accounts, are completed
- Notify regulatory bodies of changes to officers, directors, auditors, fund documentation, and registered offices
- Maintain statutory registers, including directors, secretaries, members, and associated parties
- Assist with maintaining company secretarial procedures and gathering KYC information
- Support regulatory compliance visits and audits
- Review accounts, draft prospectuses, meeting agendas, and marketing materials
- Ensure compliance with legislative requirements and statutory returns
- Review and manage SLAs, ensuring adherence and regular updates
- Prepare Directors’ and Officers’ Insurance Proposal Forms and ensure ongoing coverage
- Arrange for client company letterhead setup and availability
- Provide cover for team members when required
Job Requirements:
- Good knowledge of the offshore fund industry, particularly regulatory requirements and the role of the company secretary
- Understanding of laws and regulations applicable to fund management and administration
- Experience with London Stock Exchange listed entities (preferred)
- Ideally hold or be working towards an industry-relevant qualification such as ICSA
- At least 2 years of relevant industry experience
- Strong team ethic and effective communication skills
- Excellent client service orientation
- Strong time management skills and ability to work under pressure
- Sound judgment and problem-solving abilities
