Our client is seeking a Jersey In-House Company Secretary to support the Group Company Secretary, the Jersey Board, and internal teams in delivering efficient and timely corporate secretarial services. This role involves maintaining statutory records, ensuring regulatory compliance, and supporting corporate governance processes.
Job Duties:
- Maintain statutory books and records, including minutes, meeting logs, and registers.
- Update the JFSC myRegistry portal with reportable changes within required timeframes.
- Convene and schedule board meetings, including diary management.
- Collate and distribute board papers for in-house company meetings.
- Attend board meetings and prepare accurate minutes, ensuring timely circulation and approval.
- Maintain meeting logs and provide status updates to the Group Company Secretary.
- Act as the primary contact for the Jersey Information Commissioner.
- Manage authorised signatory lists and issue CDD verification of company personnel.
- Ensure compliance with regulatory requirements and corporate governance best practices.
- Undertake ad-hoc projects as required.
- Establish and maintain strong relationships with external parties and colleagues.
- Engage in continuing professional development (CPD) to stay updated on industry standards.
Job Requirements:
- Degree-level qualification or equivalent.
- Minimum of 5 years’ relevant industry experience.
- Strong attention to detail and ability to work under pressure.
- Ability to understand and interpret complex legal documentation.
- Excellent communication skills to convey relevant information effectively.
- Ability to handle confidential information with discretion.
- Knowledge of legal, regulatory, and procedural compliance requirements.
- Ability to monitor, interpret, and implement legislative and regulatory changes.
- Proactive approach to daily responsibilities.
