Corporate Governance Lawyer

Our client is seeking a Corporate Governance Lawyer to join their internal legal function as an Associate or Senior Associate. This full-time role will be central to delivering corporate governance support to internal entities including companies, partnerships and trusts. Working closely with the Chief Governance Officer and senior management, you will support boards and committees, maintain compliance obligations, and contribute to governance projects and frameworks.

Job Duties:

  • Act as day-to-day governance representative and company secretary for internal boards and committees
  • Organise meetings, maintain meeting schedules, draft agendas and record detailed minutes
  • Maintain constitutional documents, committee terms of reference and director/officer responsibility lists
  • Track and follow up on action points, keeping logs updated
  • Organise annual general meetings including issuing notices and proxy forms
  • Lead internal board effectiveness reviews, reporting findings and managing outcomes
  • Prepare and submit annual and event-driven filings and notifications with registries, regulators and law societies
  • Maintain statutory books, registers, and additional internal compliance records
  • Respond to due diligence requests and maintain a global request register
  • Coordinate execution and ratification of governance documents such as tax returns and financial statements
  • Draft governance documentation for corporate actions including dividends, capitalisations and buybacks
  • Prepare tailored inductions for directors and governance materials for audits
  • Contribute to the enhancement of the internal governance framework and participate in global governance projects
  • Lead projects including entity formation, restructures, liquidations and delegation arrangements
  • Support integration of new jurisdictions and development of global governance checklists and guidance
  • Review global consistency in board reporting arrangements
  • Develop and implement processes to assess committee effectiveness and contribute to a global Governance Manual

Job Requirements:

  • UK-qualified corporate lawyer at Associate or Senior Associate level
  • Strong practical knowledge of company law
  • Experience in a company secretarial or in-house governance role within a regulated professional services environment is advantageous
  • Chartered Secretary or Chartered Governance Professional status is preferred (or willingness to study for the qualification with support)
  • Familiarity with Viewpoint, Worksite or Board Intelligence platforms is beneficial
  • Highly organised, proactive and able to manage a complex workload in a fast-paced environment
  • Strong attention to detail and accuracy
  • Ability to demonstrate discretion and sound judgement
  • Approachable with the confidence to build strong relationships across all areas of the business
  • A completer-finisher mindset with a proactive approach to identifying opportunities for process improvement
  • Technologically curious with an interest in applying AI and digital tools to governance work
