Our client, a dynamic and family-owned organisation based in Guernsey, is seeking a Company Secretary at the Assistant Manager or Manager level. This full-time role is integral to the organisation's Fund Administration team, which prides itself on flexibility, innovation, and a best-in-class service in the competitive venture capital sector. The successful candidate will be responsible for delivering company secretarial services to a diverse portfolio of clients, ensuring compliance with corporate governance standards and maintaining strong relationships with stakeholders.
Job Duties:
- Convene and attend Board meetings, quarterly Fund meetings, and ad hoc meetings as they arise.
- Liaise with Board members and other relevant parties regarding meeting arrangements.
- Manage the timely preparation of agendas, action points, and minutes arising from each meeting.
- Coordinate the preparation and timely distribution of board packs to directors.
- Arrange for the signing of minutes within set timeframes.
- Provide company secretarial support for the establishment of corporate entities and general partnerships across various jurisdictions.
- Maintain company records and oversee share and registrar functions.
- Ensure ongoing statutory compliance for funds.
- Maintain statutory registers, including minute books.
- Handle Guernsey registry filings, including annual validations for all fund entities administered by the company.
- Update registries in various jurisdictions and ensure timely statutory filings and fee payments.
- Uphold good corporate governance principles concerning all Company Secretarial matters, including an annual review of the Code of Corporate Governance and suggesting efficiencies.

- A self-starter with excellent organisational skills, capable of working independently in high-pressure environments and meeting deadlines.
- Strong communication, teamwork, and interpersonal skills to foster positive working relationships with colleagues, clients, and stakeholders.
- Proficient in computer literacy and possess solid problem-solving abilities.
- Exceptional business writing skills, with a quick adaptability to new systems.
- Ability to keep clear and concise records, alongside a proactive approach to improving processes and efficiencies.
- Proven track record of professionalism and discretion in handling sensitive Board matters.
