Company Secretary

Our client is seeking a Company Secretary to play an integral role in the effective functioning of their group of companies. This trusted professional will serve as a vital link between the Boards of Directors and the cross-jurisdictional departments within the business, providing expert guidance on directors’ duties, responsibilities, and corporate governance. The Company Secretary will ensure compliance with all statutory and regulatory requirements across multiple jurisdictions, proactively monitoring legislative developments and updating the Boards and Senior Management on relevant changes. Job Duties:

  • Assist, advise, and support members of the Boards with integrity and independence to protect the interests of the group companies.
  • Ensure compliance with relevant legal and regulatory requirements, translating these into robust procedures and practices.
  • Oversee adherence to procedures within the governance framework, ensuring Board members act in accordance with lawful obligations.
  • Convene and service Board meetings, including preparing agendas, recording minutes, conveying decisions, tracking actions, managing meeting correspondence, and monitoring post-meeting actions.
  • Draft and facilitate Board Resolutions, acting as a liaison for Boards and Directors on corporate governance matters.
  • Provide training and support to Directors and the senior leadership team on corporate governance matters.
  • Actively keep up to date with regulatory and statutory changes and policies that may affect the organisation.
  • Support the Board or other groups on specific projects related to the role.
  • Implement processes to promote effective management of the organisation and compliance with legislation.
  • Manage company and staff insurance policies and renewals (D&O, PI, Cyber, and Employers Liability insurance).
  • Facilitate the execution of agreements and contracts in line with internal signing authority and delegation of authority protocols.
  • Prepare reports and compile relevant information related to the role.
  • Maintain statutory registers, minute books, and other corporate records.
  • Manage external due diligence and audit requests for corporate data, aligning sharing with internal policies and controls.
  • Maintain the corporate structure and organisational charts.
  • Facilitate the opening of bank accounts and assist with maintenance of corporate signatory lists and access rights.

Job Requirements:

  • Hold or be working towards a relevant Company Secretary qualification.
  • Strong administrative skills and proficiency with IT software.
  • Experience working within a multi-jurisdictional company or group operating cross-border services.
  • Previous experience in a Company Secretary role.
  • Familiarity with working directly with Boards and senior management teams.
  • Commercial awareness.
  • Experience using SharePoint and DocuSign is advantageous.
  • Excellent organisational and time management capabilities.
  • Meticulous attention to detail.
  • Discretion and diplomacy.
  • Strong interpersonal skills.
