Our client offers an open and progressive work environment and is seeking a highly motivated individual to join their Fund Administration team. This role involves servicing the company secretarial needs of a portfolio of regulated investment managers, funds, and subsidiaries under a rigorous control framework, managing the delivery of company secretarial services as prescribed under the Jersey Companies Law and in accordance with the services outlined in the terms of business with customers.
Job Duties:
- Work closely with the Boards of regulated Fund Services Businesses and various regulated funds, including AIFs, Expert Funds, and Unclassified Funds.
- Attend all regular board meetings, including the preparation of agendas, electronic board papers, and facilitating the production of timely, accurate minutes and actions from these meetings.
- Attend to Jersey statutory filings (e.g., Jersey annual confirmation statements, ISE returns, Jersey tax and substance returns) in accordance with applicable deadlines, while maintaining accurate statutory records, registers, and books.
- Stay up to date with Jersey statutory and regulatory frameworks and their periodic amendments to ensure client entities remain compliant with their obligations.
- Assist in developing and maintaining a best-in-class corporate governance framework across the Fund Administration function.
- Share information and provide training, guidance, and assistance to team members/company secretarial deputies as required.
- Develop an effective diary and corporate governance timetable to manage the scheduling of periodic board meetings, AGMs, EGMs, and key recurring tasks.
- Be responsible for producing and maintaining statutory registers for client entities, including managing the RBO filing process.
- Assist with the incorporation process for new Fund Administration client entities.
- Support the client’s ethos by engaging in rigorous process analysis to drive alignment and consistency.
- Undertake any company secretarial project work as required, including initiatives as designated by the direct Manager.
Job Requirements:
- 8-10 years’ relevant experience in the finance industry is preferred.
- Strong academic background and working towards or holding a professional qualification such as ICSA.
- Excellent written and verbal communication skills.
- Strong working knowledge of Jersey Companies Law and the regulatory framework is advantageous.
- Proficient in the MS Office package (Outlook, Word, Excel, PowerPoint).
- Good understanding of applicable statutory laws and related legal and regulatory requirements, including anti-money laundering regulations.
- Responsive and client-focused with strong organisational skills and attention to detail.
- Ability to deal with tasks independently and demonstrate initiative.
- Capability to provide training and mentoring to junior members of the team.
- Committed and driven to achieve excellence for themselves, their clients, and their team.
- Demonstrable track record of providing excellent company secretarial management to a variety of Jersey investment funds and the regulated management companies thereof.
