Our client is seeking an In-House Counsel to support the In-House Legal function within the wider In-House Counsel and Corporate Governance team. This role will be primarily focused on providing legal support to the corporate administration services business. The successful candidate will report to the Managing Legal Counsel and play a pivotal role in advising senior management and key stakeholders. This position offers an opportunity to engage with various business functions and enhance the organisation’s ability to meet its strategic objectives. The role is a full-time position, aimed at ensuring compliance with legal obligations and providing strategic legal guidance. Responsibilities will include managing projects, liaising with stakeholders, and ensuring that all legal documentation meets regulatory standards. The ideal candidate will possess strong communication skills and have a proactive approach to problem-solving.
Job Duties:
- Provide legal support to the Managing Legal Counsel and the wider In-House Counsel and Corporate Governance team for corporate administration matters.
- Assist in leading certain projects and business-as-usual activities related to corporate administration.
- Collaborate with key business stakeholders, including directors and various teams such as Human Resources, Risk and Compliance, and Marketing, to meet deliverables linked to the business strategy.
- Understand and advise on the group's structure and related legal obligations concerning corporate administration.
- Offer advisory services to senior management on matters including risk and corporate governance framework.
- Liaise with managing legal counsel and external advisers as needed.
- Maintain key corporate documentation, including articles of association and service agreements.
- Support client engagement processes, including queries and contract negotiations.
- Coordinate the approval process for decisions made by operating boards.
- Attend meetings of in-house entities and committees as required.
- Review contracts with third-party suppliers from a legal risk and commercial perspective.
- Provide advice on data protection matters in collaboration with data protection professionals.
- Contribute to the development of self-help guidance for the business.
- Assist the wider In-House Legal team as necessary during periods of absence.
- Stay informed of laws affecting the jurisdictions relevant to the business.
Job Requirements:
- Qualified lawyer with at least 4 years of post-qualification experience (PQE).
- Experience in a cross-jurisdictional or offshore corporate and regulatory environment is an advantage.
- Previous in-house experience is welcome but not compulsory.
- Knowledge of anti-money laundering (AML) legislation, regulatory environments, and data protection is advantageous.
- Strong interpersonal and communication skills are essential.
- Exceptional organisational skills with the ability to manage time and prioritise effectively.
- Adaptability and support for change, including innovative tools and processes.
- Demonstrated ability to work in an agile and flexible manner.
- Ability to assess the organisation-wide implications of decisions.
