Company Secretary, Group

Our client is seeking a Group Company Secretary responsible for overseeing the governance framework and company secretarial matters across various jurisdictions. The role will ensure adherence to regulatory and statutory requirements while maintaining high standards of corporate governance. This position involves providing effective support to the Board of Directors and senior management, including managing Board operations and shareholder communications. The Group Company Secretary will also be accountable for legal compliance and regulatory reporting for all group activities. With a focus on strategic growth and transformation, our client is investing in advanced technology and training, which will enhance both client and employee experiences. The successful candidate will be integral to this exciting journey, contributing to the overall governance strategy of the organisation. This is a full-time role located in Guernsey.

Job Duties:

  • Advise the Board, Board Committees, and senior executives on corporate governance best practices, legal, and regulatory requirements.
  • Ensure compliance with all relevant regulations in collaboration with the Group Head of Risk and Compliance.
  • Monitor changes in relevant statutes and industry standards, recommending necessary organisational changes.
  • Maintain the Authorised Signatory List and oversee statutory registers for the Group's companies.
  • Provide governance support for Board and Committee meetings, including logistics and documentation.
  • Draft company secretary reports for the Board and manage relationships with shareholders.
  • Lead or support corporate transactions, ensuring compliance with legal standards and best practices.
  • Manage all statutory submissions and ensure the timely filing of documents with relevant authorities.

Job Requirements:

  • Relevant qualification such as ICSA or Chartered Governance Professional (CGP).
  • Minimum of 7 years’ experience in a similar role within Financial Services.
  • Strong knowledge of Company Secretarial practices and Guernsey Company Law.
  • Understanding of the regulatory landscape in financial services.
  • Previous experience supporting Board and Committees at a senior level.
  • Excellent IT skills and proficiency in Microsoft Office applications.
  • Strong time management, organisational, and communication skills.
