Assistant, Group Company Secretary

Our client is seeking an Assistant to the Group Company Secretary to join their expanding team. This role involves supporting the Group Company Secretary in overseeing the governance framework and company secretarial matters across various jurisdictions. The Assistant will be responsible for ensuring adherence to regulatory and statutory requirements while managing general company secretarial tasks. This position offers an excellent opportunity to contribute to the group's governance operations, working within a collaborative environment that values professional growth. The successful candidate will assist in corporate transactions, support Board and Committee meetings, and help in the production of essential documentation. Additionally, they will provide insights into the composition of the Board and advise on director appointments and succession planning. This is a full-time position based in either Guernsey or Jersey, with a focus on maintaining and enhancing the group's governance standards.

Job Duties:

  • Maintain and provide customer due diligence for the group.
  • Oversee and maintain statutory registers of the group's Guernsey companies.
  • Facilitate statutory filings for the group's Guernsey companies.
  • Maintain the corporate calendar of events for the group and operating companies.
  • Provide comprehensive support for Board and Committee meetings.
  • Draft, monitor, and update action points from prior meetings.
  • Ensure smooth information flow between the Board, Committees, and senior management.
  • Lead or support corporate transactions such as mergers, acquisitions, and fundraising.
  • Assist in developing and implementing corporate policies and procedures.
  • Ensure timely filing of statutory documents with relevant authorities.

Job Requirements:

  • Relevant qualification such as ICSA Chartered Governance Professional (CGP) or equivalent.
  • Previous experience in a relevant role within financial services.
  • Strong knowledge of company secretarial practices and Guernsey Company Law.
  • Understanding of corporate governance frameworks and statutory requirements.
  • Excellent IT skills, particularly with Microsoft Outlook, Word, and Excel.
  • Outstanding time management and organisational abilities.
  • Excellent written and verbal communication skills.
  • High ethical standards and integrity.
  • Resilient and adaptable, thriving in a fast-paced environment.
  • Strong interpersonal skills for managing relationships with stakeholders effectively.
