Deputy Company Secretary

Our client is seeking a Deputy Company Secretary to join their team. This full-time, permanent position will be based in Guernsey, Jersey, or London. In this role, you will collaborate with senior management to deliver a high-quality governance and company secretarial service. Your primary focus will be on managing and enhancing the governance framework, ensuring compliance with legal, regulatory, and best practice standards across multiple jurisdictions.

JOB DUTIES:

  • Lead the administration of the Group's governance framework across all jurisdictions.
  • Oversee the maintenance of statutory registers, corporate records, and filing obligations for Group entities.
  • Ensure ongoing compliance with relevant company law, regulatory requirements, and governance best practice standards.
  • Maintain and enhance the Group's entity management system, ensuring data accuracy and integrity.
  • Develop and own governance documentation, including Board and Committee Terms of Reference and governance policies.
  • Support the annual review of governance arrangements and recommend improvements to structures and controls.
  • Provide governance advice to directors and senior management regarding company law and best practices.
  • Lead and oversee the governance and administration of designated Board and Committee meetings.
  • Maintain the annual governance calendars.
  • Prepare Board and Committee agendas in consultation with Chairs and stakeholders.
  • Review Board papers to ensure quality and effective decision-making.
  • Attend meetings, producing accurate minutes and action logs.
  • Monitor the implementation of Board and Committee actions and resolutions.
  • Support Board effectiveness reviews and director development initiatives.
  • Act as Secretary to designated Boards and Committees when necessary.
  • Support major corporate projects including restructurings and integrations.
  • Coordinate governance workstreams for strategic transactions and organisational changes.
  • Assist with governance aspects of regulatory changes and emerging developments.
  • Participate in governance technology initiatives to improve processes.
  • Oversee the completion of statutory and regulatory filings across relevant jurisdictions.
  • Coordinate governance inputs for regulatory submissions and corporate reporting.
  • Ensure corporate records are maintained to the highest standard.
  • Assist in preparing governance-related sections of annual reports as needed.

JOB REQUIREMENTS:

  • CGI qualified (or equivalent professional qualification) with significant company secretarial experience in financial services or professional environments.
  • Strong understanding of corporate governance principles and best practices.
  • Exposure to governance in multiple jurisdictions is advantageous.
  • Extensive experience supporting Boards and Committees.
  • Competence in drafting minutes and advising on governance matters.
  • Experience with corporate transactions or governance projects would be beneficial.
  • Ability to confidently interact with directors and senior stakeholders.
  • Experience in supervising or mentoring junior staff.
  • Excellent written and verbal communication skills with attention to detail.
  • Strong interpersonal skills and the confidence to influence effectively.
  • Able to prioritise and remain resilient under pressure.
  • Demonstrates discretion, integrity, and professionalism.
  • Solutions-focused with a continuous improvement mindset.
  • Strong technological skills, particularly in governance and entity management systems.
