Senior Assistant Company Secretary

Our client is looking for a Senior Assistant Company Secretary to become a valuable part of their team. This full-time, permanent position will be based in Guernsey, Jersey, or London. In this role, you will partner with the Group Company Secretary to deliver a high-quality governance and company secretarial service across the organisation. Your main focus will be on managing and enhancing the Group's governance framework, ensuring compliance with legal, regulatory, and best practice standards across various jurisdictions. As a Senior Assistant Company Secretary, you will act as a trusted governance adviser to senior management and directors. Your responsibilities will include managing subsidiary governance arrangements, supporting Board and Executive Committee activities, overseeing statutory compliance obligations, and contributing to strategic corporate initiatives such as acquisitions and governance transformation projects. This position provides the opportunity to cultivate strong relationships within the organisation while promoting a culture of governance and corporate integrity.

JOB DUTIES:

  • Lead the administration of the Group's governance framework across all jurisdictions.
  • Oversee the maintenance of statutory registers, corporate records, and filing obligations for Group entities.
  • Ensure ongoing compliance with relevant company law, regulatory requirements, and governance best practice standards.
  • Maintain and enhance the Group's entity management system, ensuring high data accuracy and integrity.
  • Own and develop governance documentation such as Board and Committee Terms of Reference and governance policies.
  • Support the annual review of governance arrangements and propose improvements to governance structures and processes.
  • Provide governance advice to directors and senior management concerning company law and governance obligations.
  • Lead and oversee the governance and administration of designated Board, Committee, and Executive Committee meetings.
  • Maintain the annual governance calendars.
  • Prepare high-quality Board and Committee agendas in consultation with Chairs and senior stakeholders.
  • Review Board papers to ensure quality, completeness, and effective decision-making.
  • Attend meetings and produce accurate and concise minutes and action logs.
  • Monitor the implementation of Board and Committee actions and resolutions.
  • Support Board effectiveness reviews, director induction programmes, and ongoing director development initiatives.
  • Act as Secretary to designated Boards and Committees when appropriate.
  • Support major corporate projects, including restructurings, mergers, integrations, and legal entity rationalisation initiatives.
  • Coordinate governance workstreams related to strategic transactions and organisational change programmes.
  • Support leadership on governance aspects of regulatory changes and emerging developments.
  • Participate in governance technology initiatives and continuous improvement programmes.
  • Oversee the timely completion of statutory and regulatory filings across relevant jurisdictions.
  • Coordinate governance contributions to regulatory submissions and annual governance reviews.
  • Ensure that all corporate records, minutes, and statutory documentation are maintained to the highest standard.
  • Assist in preparing governance-related sections of annual reports and other corporate disclosures as required.

JOB REQUIREMENTS:

  • CGI qualified (or equivalent professional qualification) with significant company secretarial experience preferably in financial services, professional services, or corporate environments.
  • Strong knowledge of corporate governance principles and company secretarial best practices.
  • Experience with governance arrangements across multiple jurisdictions is advantageous.
  • Significant experience supporting Boards, Committees, and senior executive forums.
  • Experience in drafting high-quality minutes and advising senior stakeholders on governance matters.
  • Experience supporting corporate transactions, governance projects, or organisational change initiatives would be beneficial.
  • Demonstrates the ability to operate confidently with directors, executives, and senior stakeholders.
  • Previous experience supervising, mentoring, or developing junior colleagues is preferred.
  • Excellent written and verbal communication skills, with strong attention to detail.
  • Strong interpersonal skills with the ability to influence and challenge effectively.
  • Able to prioritise effectively while remaining resilient under pressure in a fast-paced environment.
  • High levels of discretion, integrity, and professionalism.
  • Solutions-focused and possesses a continuous improvement mindset.
  • Strong technology skills, including experience with governance and entity management systems.
