Non-Executive Director - 15hours per annum

Our client is a newly incorporated investment company based in the Isle of Man, seeking an Independent Non-Executive Director to join its Board. The company focuses on a diversified portfolio of primarily passive investments, including listed equities and fixed-income securities, adhering to a long-term investment philosophy. Currently, the Board is composed of the shareholder and one independent Non-Executive Director (NED), and they are looking to appoint a second independent director who resides in the Isle of Man. This role is anticipated to involve approximately 2-3 physical Board meetings each year, with a total commitment of around 15-20 hours annually. The ideal candidate will provide independent oversight and financial expertise, contributing valuable insights on financial performance, risk management, governance, and strategic direction. This presents an excellent opportunity for an ambitious qualified accountant or seasoned finance professional to take their first NED appointment and gain essential Board-level experience within an investment-focused environment.

JOB DUTIES:

  • Provide independent oversight and constructive challenge at Board meetings, focusing on key areas such as financial performance, risk, governance, and strategy.
  • Attend approximately 2-3 physical Board meetings held in the Isle of Man each year, contributing to discussions and decision-making processes.
  • Review and prepare Board materials to ensure informed deliberations.
  • Bring an objective perspective to the Board, enhancing the overall governance and strategic approach of the company.
  • Maintain independence from the company's existing professional advisers and shareholders to avoid conflicts of interest.
  • Satisfy relevant Isle of Man regulatory fitness and propriety requirements as applicable to the NED appointment.

JOB REQUIREMENTS:

  • Hold a recognised accounting qualification or possess strong relevant finance experience.
  • A minimum of 5 years' relevant professional experience in finance or accounting is essential.
  • Demonstrate a solid understanding of financial reporting and accounting principles.
  • Exhibit strong judgement and an independent mindset, with the confidence to provide constructive challenges at the Board level.
  • Ability to attend physical Board meetings in the Isle of Man, with flexibility to meet 2-3 times per year.
  • No existing relationship with the company’s professional advisers, including Cains and Endor, is crucial.
  • Interest in developing Board and NED experience; previous NED experience is not required, making this a great opportunity for the right candidate.
