Job Duties:
- Execute the role of Company Secretary for all clients through the corporate appointment of the service provider.
- Ensure suitable procedures for the efficient flow of work and compliance with relevant laws and regulations.
- Ensure managed companies operate within their Articles, providing training and guidance to client service teams.
- Oversee the setup and maintenance of all statutory company records for client and Group companies.
- File documents with the Registry.
- Prepare and submit annual validations and company filings to the Registrar of Companies.
- Submit Guernsey Finance Levy filings to the Registrar of Companies.
- Renew data protection registrations.
- Advise on Corporate Governance and Company Law issues.
- Incorporate companies.
- Draft Insurance Management Agreements and Company Administration Agreements, maintaining templates.
- Assist with coordination and preparation of Board Packs and Board Meetings as needed.
- Attend client Board Meetings when required.
- Complete Board Minutes when in attendance.
- Ensure exceptional client service.
- Liaise with external regulators.
- Work with external advisers such as lawyers and internal and external auditors as needed.
- Undertake ad hoc projects as determined by the senior management team.
Job Requirements:
- A minimum of 5 years’ experience in a company secretary environment.
- Ideally ICSA qualified or working towards this or a similar qualification.
- Excellent organisational and communication skills to collaborate with a range of professionals and deliver results.
- Ensure all work complies with the Company’s policies and procedures and ongoing regulatory requirements.
- Self-motivated with the ability to work effectively as part of a team or on individually assigned tasks in a fast-paced environment, demonstrating attention to detail, time management, and prioritisation skills.
