Our client is seeking an organised and proactive Governance Officer to provide high-quality internal corporate governance support across a group of companies, partnerships, and trusts with an international presence. This is a full-time position supporting legal, consulting, and business services teams, offering the opportunity to work closely with senior leadership to maintain strong governance standards and contribute to ongoing internal projects and developments.
Job Duties:
- Organise board and committee meetings and maintain annual meeting schedules
- Draft meeting agendas, circulate timely meeting packs, and coordinate attendee participation
- Attend meetings and produce clear, detailed, and accurate minutes
- Track action points, follow up with stakeholders, and update trackers regularly
- Support the preparation and internal publication of an annual report in consultation with relevant departments
- Act as secretary or assistant secretary to boards or committees if required
- Assist with board effectiveness reviews, analyse feedback, and support related follow-up actions
- Prepare and submit annual and ad hoc filings to registries, regulators, and professional bodies
- Maintain statutory books, company registers, and non-statutory governance records
- Support responses to due diligence and questionnaire requests from external parties
- Coordinate the execution and ratification of documents including financial statements and tax filings
- Assist with tailored director inductions and provide governance support for audits
- Contribute to the development and implementation of a robust internal governance framework
- Assist with governance projects including entity formation, liquidations, and restructuring
- Support integration of new jurisdictions and entities, and maintain global governance checklists
- Contribute to the implementation of governance reviews and help develop a comprehensive Governance Manual
Job Requirements:
- Relevant experience in a governance or company secretarial role, ideally within a regulated professional services environment
- Working towards or holding a Chartered Governance Institute qualification is advantageous
- Familiarity with Viewpoint, Document Management Systems (such as Worksite), or board portals is desirable
- Highly organised with the ability to manage a complex workload and meet deadlines
- Strong communication skills with the ability to liaise confidently with colleagues at all levels
- Professional discretion, sound judgement, and the ability to maintain confidentiality
- Confident working independently while being open to collaboration and guidance
- Excellent attention to detail and accuracy
- Curious, solution-oriented and keen to improve governance processes through tech and AI solutions
- Proactive and enthusiastic, with a commitment to continuous improvement
