Company Secretary & Compliance Manager

Our client is seeking a Company Secretary & Compliance Manager to join their organisation on a full-time, permanent basis, based in either Jersey or Guernsey. This senior-level role will be responsible for delivering a proactive governance service to the board, shareholder, and wider business. It plays a vital role in ensuring sound corporate governance, compliance with legal and regulatory standards, and effective risk management. The role also encompasses managing policy, supplier and customer onboarding, and insurance functions, while working collaboratively with legal, regulatory, and risk teams to protect the business and support strategic objectives.

Job Duties:

  • Provide a full, proactive governance and corporate secretarial service in accordance with company articles and relevant legislation across multiple jurisdictions (UK, CI, US, Australia, and EU)
  • Maintain statutory and regulatory records and ensure all compliance requirements are met
  • Draft ExCo, board, and shareholder minutes and resolutions; prepare agendas and meeting packs
  • Manage and develop governance-related policies and procedures
  • Build and maintain relationships with internal and external stakeholders and service providers
  • Assist with corporate projects such as mergers, acquisitions, and divestments
  • Support the Governance Committee with policy development and compliance oversight
  • Provide guidance on supplier and customer due diligence, including sanctions compliance
  • Oversee the KYC function and manage a small team
  • Address ad hoc compliance matters arising from legal, regulatory, or contractual issues
  • Manage the business’s insurance function

Job Requirements:

  • Proven experience in a governance or compliance role, ideally within a regulated or complex group structure
  • ICSA qualification is highly desirable
  • Ability to work independently with a high degree of organisation and precision
  • Strong awareness of reputational risk, with discretion and integrity
  • Broad understanding of corporate law, governance, and compliance best practice
  • Excellent written and verbal communication skills, with the ability to convey complex information clearly
  • Familiarity with sanctions compliance, policy development, and onboarding procedures
  • Experience with legal entity administration and board governance processes
  • Strong relationship-building skills with confidence to engage senior stakeholders
  • Adaptability in a fast-paced, agile environment
  • Proactive and solutions-focused with strong influencing and leadership abilities
