Our client is seeking a Company Secretary & Compliance Manager to join their business and play a pivotal role in upholding high standards of corporate governance and regulatory compliance across the Group. This full-time position involves supporting the Board, Shareholder and Executive Committee by ensuring adherence to statutory and regulatory obligations. The role is based in Jersey and offers hybrid working. This is a dual role combining corporate governance and compliance responsibilities, including policy management, onboarding, sanctions screening and insurance oversight. As a trusted adviser to senior leadership, you will be expected to demonstrate sound judgement, political awareness and the ability to build strong relationships across all levels of the organisation.
Job Duties:
- Deliver a full governance and company secretarial service to group companies in accordance with relevant legislation and regulations
- Maintain statutory and regulatory records across multiple jurisdictions (including UK, CI, US, Australia and EU)
- Ensure company secretarial information is accurate and compliance requirements are met
- Draft ExCo, board and shareholder minutes and resolutions, and prepare meeting agendas and packs
- Manage and develop governance-related policies, procedures and group-wide committees
- Liaise with internal and external stakeholders and service providers
- Support projects related to mergers, acquisitions and divestments
- Assist in managing reputational risk through effective governance frameworks
- Provide guidance on customer and supplier due diligence and sanctions compliance
- Coordinate supplier onboarding activities and manage KYC processes with a small team
- Respond to business queries with legal, regulatory or contractual compliance implications
- Oversee the insurance function for the group
Job Requirements:
- Proven experience in a similar governance or compliance role, ideally within a regulated or complex group structure
- ICSA or CGI qualification (or equivalent) is preferred
- Strong understanding of corporate governance, company law and compliance practices
- Familiarity with sanctions compliance, policy management and due diligence
- Previous experience managing legal entity administration and board-level governance processes
- Ability to work independently with high levels of organisation and precision
- Excellent communication skills, with the ability to convey complex matters clearly
- Politically astute with a high level of discretion and integrity
- Confident relationship builder able to engage with senior executives and Board members
- Proactive and solution-focused, with strong influencing skills
- Adaptable and collaborative with the ability to manage competing priorities
