Temporary Company Secretarial Assistant - 6 months

Our client is seeking a capable and proactive Assistant to the Group Company Secretary for a temporary period of six months, based in Guernsey. This full-time role will support the Group Company Secretary in delivering corporate secretarial services across multiple jurisdictions. The role involves assisting with statutory compliance, governance frameworks, board and committee administration, and regulatory reporting. This is an excellent opportunity for a governance professional to gain exposure to group-level operations within a dynamic and evolving organisation.

Job Duties:

  • Maintain and provide up-to-date CDD documentation for the Group
  • Maintain and provide Group structure charts as required
  • Oversee and maintain statutory registers of the Group’s Guernsey companies
  • Manage and complete statutory filings for the Group’s Guernsey companies
  • Maintain the corporate calendar for the Group and its operating companies
  • Provide support for Board and Committee meetings, including logistics, materials distribution, and drafting agendas, minutes, and action points
  • Monitor, update, and prompt action points from previous Board and Committee meetings
  • Facilitate communication between the Board, Committees, and senior management
  • Assist with advising on Board composition, director appointments, and succession planning
  • Draft Company Secretary reports for Board review
  • Support corporate transactions such as mergers, acquisitions, restructurings, or fundraising, ensuring compliance with governance standards
  • Contribute to the development and implementation of corporate policies and procedures
  • Ensure statutory submissions are filed in a timely manner with relevant authorities for Guernsey companies and monitor filing requirements across other jurisdictions
  • Maintain corporate records including registers of directors, shareholders, and company resolutions
  • Draft assessments of Board self-evaluation and contribute to reviews of compliance with Corporate Governance Codes
  • Support the Director Induction programme
  • Demonstrate and uphold the organisation’s core values in all areas of responsibility

Job Requirements:

  • Relevant qualification such as ICSA Chartered Governance Professional or equivalent
  • Previous experience in a relevant company secretarial or governance role within financial services
  • Good knowledge of Guernsey Company Law and company secretarial practices
  • Awareness of corporate governance frameworks, statutory requirements, and the regulatory landscape for fiduciary licensees
  • Knowledge of company law and secretarial practices in other jurisdictions would be advantageous
  • Strong IT skills, particularly in Microsoft Outlook, Word, Excel, and experience with board paper management systems
  • Excellent organisational, prioritisation, and time management abilities
  • Strong written and verbal communication skills
  • High ethical standards, integrity, and a proactive mindset
  • Resilient, adaptable, and comfortable in a fast-paced environment
  • Confident in managing relationships with internal and external stakeholders
