Manager, Corporate Governance

Our client is a modern, independent business operating in Guernsey, Jersey, and Ireland, dedicated to providing a professional, personalised service tailored to clients' needs. With a team of accomplished consultants and employees, our client offers expert opinions on compliance, governance, and company secretarial issues across regulated and unregulated industries. The company employs innovative digital technology and tools to deliver efficient processes in the compliance and company secretarial market. In this pivotal role of Manager, the successful candidate will support the Senior Manager in driving the business forward in line with the business plan and key performance indicators. This client-facing position involves managing a portfolio of clients, ensuring quality and compliance with standards. The Manager will also engage in business development meetings to obtain new business and oversee workflow within the team for efficiency and accuracy. This is a full-time role with significant responsibilities.

Job Duties:

  • Assisting the Senior Manager in managing, delegating to, and overseeing the team to ensure all deliverables are met in accordance with Service Level Agreements.
  • Acting as Authorised “B” Signatory.
  • Serving as a key point of contact for a portfolio of clients, fostering strong and trusted relationships.
  • Undertaking client-required work, including attendance at external Board meetings, preparation of related documentation, and drafting minutes.
  • Providing advice and support to Boards as required, based on individual skill set and experience.
  • Managing and undertaking bespoke client projects on both an ad-hoc and longer-term basis.
  • Developing and maintaining governance-related policies and procedures for clients as needed.
  • Reviewing incorporations of Guernsey entities and ensuring statutory filings and relevant fees are completed timely.
  • Reviewing registered office and resident agent-related work.
  • Offering pragmatic solutions to clients to satisfy regulatory obligations and governance requirements.
  • Liaising with various areas of the business as necessary.
  • Supporting, mentoring, and developing the team.
  • Ensuring resources are appropriately utilised to complete client work on time and to a high standard.
  • Reviewing the team’s weekly timesheets to ensure accurate time recording and resource allocation.
  • Leading the delivery of performance appraisals, providing constructive feedback, and participating in recruitment activities.
  • Attending on-island and off-island business development meetings and events to promote services and generate new business.
  • Leading or contributing to internal work, including development of templates, policies, and procedures to ensure best practice delivery of corporate governance principles.
  • Providing and attending client and internal staff training as required.
  • Understanding and playing a key role in implementing the company culture and standards.
  • Continuously developing knowledge to stay updated with constitutional, regulatory, and listing requirements relevant to clients.
  • Performing ad-hoc duties as requested by the Line Manager.

Job Requirements:

  • Sound practical knowledge of relevant statutory requirements and best practices.
  • Working knowledge of onboarding and due diligence requirements.
  • Excellent verbal and written communication skills with the ability to engage confidently with colleagues, clients, and stakeholders at all levels.
  • Proven ability to manage client expectations professionally.
  • Collaborative team player who contributes positively within internal teams and client engagements.
  • Analytical and proactive with a strong problem-solving mindset and critical thinking skills.
  • Highly organised and methodical, with a strong sense of responsibility and determination to consistently meet deadlines.
  • Proficiency in Microsoft Office and a willingness to learn new software packages.
  • High levels of integrity when dealing with sensitive matters.
  • A commitment to understanding and actively promoting the values, standards, and culture of the client.
